These Terms constitute a binding contract between you and Analyst3 Inc. By using the Service in any way, you agree to and accept all of these Terms. These Terms will remain in effect at all times while you use the Service or any content obtained through the Service. These Terms govern your access to the Service and use of all content on Analyst3’s websites, applications, products, and other properties, and include the provisions in this document as well as our Privacy Policy.
These Terms include information about future changes to these Terms, automatic renewals, limitations of liability, and a class action waiver.
1. Will these Terms ever change?
We are constantly improving our Service, so these Terms may change along with the Service. We reserve the right to change these Terms at any time, and if we do, we will notify you by placing a notice on the Analyst3 website, by sending you an email, or by some other means.
If you don’t agree with the new Terms, you are free to reject them; however, this means you will no longer be able to use the Service. Your continued use of the Service after a change indicates your acceptance of the new Terms.

3. What are the basics of using the Service?
To use the Service, you may be required to sign up for an account and select a password and email. You promise to provide us with accurate, complete, and updated registration information. Your right to access the Service is personal, and you may not transfer your account to anyone else without our prior written permission. You are responsible for maintaining the security of your account and any activity associated with it.
You represent that you are of legal age to form a binding contract and, if agreeing on behalf of an organization, that you have the authority to bind them to these Terms.
Your use of the Service must comply with all applicable laws. If your use of the Service is prohibited by law, you are not authorized to use the Service.

5. Subscription and Payment
Analyst3’s beta Service is available at a subscription rate of $300 per month per user. All fees are non-refundable unless otherwise specified. We reserve the right to change fees and pricing upon notice.
6. Third-Party Services
Analyst3 relies on third-party services or APIs and publicly available data from the open web. Your use of these services is subject to their respective terms and conditions, and Analyst3 is not responsible for the content, accuracy, or practices of these third-party services.
7. What if I want to stop using Analyst3?
You are free to stop using the Service at any time. Please refer to our Privacy Policy for information on how we treat data once you have stopped using the Service.
Analyst3 may also terminate your access to the Service at its discretion, including for violation of these Terms. Account termination may result in the destruction of any Content associated with your account.
8. Legal Jurisdiction
These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to principles of conflicts of laws. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Ontario with respect to any dispute or claim arising out of or in connection with the Terms of Service. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms of Service and is hereby expressly excluded. You waive the right to participate in any class action lawsuit or class-wide arbitration.
9. Limitation of Liability
To the fullest extent permitted by law, Analyst3 shall not be liable for any indirect, special, incidental, or consequential damages arising from your use of the Service. Our liability to you (whether in contract, tort or otherwise) will not exceed the amount paid by you in the 12 months preceding the applicable claim.
10. Feedback and Intellectual Property
By providing Analyst3 with any ideas, suggestions, feedback, documents, or proposals related to the Service or its functionality (collectively, “Feedback”), you agree that such Feedback is voluntary and provided without any expectation of compensation, confidentiality, or proprietary rights.
All Feedback provided by you becomes the sole property of Analyst3 upon submission. Analyst3 shall exclusively own all rights, title, and interest, including all intellectual property rights, in and to the Feedback. You hereby irrevocably assign to Analyst3 all rights that you may have in the Feedback, including any moral rights.
To the extent that any rights in the Feedback cannot be assigned to Analyst3 under applicable law, you grant Analyst3 a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, distribute, display, publish, adapt, modify, make derivative works from, and otherwise exploit such Feedback for any purpose, including the improvement, development, and commercialization of the Service or any related products or services.
You waive any claim against Analyst3 for any use or exploitation of the Feedback, including claims for compensation, royalties, or recognition.
You acknowledge and agree that Analyst3 may use the Feedback without restriction.
11. Miscellaneous
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Analyst3 agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Analyst3, and that they supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms.
